ESTABLISHING COMPANIES IN CROATIA

How to establish a company in Croatia?

In order to make the procedure easier, a HITRO.HR page was created in Croatia. It works as a “one-desk” point where companies and individual business firms can be registered.


The HITRO.HR site is the service created and administered by an agency of the Government of the Republic of Croatia. It's aim is to make communication between citizens / business entities and state administration offices faster. With the use of HITRO.HR service, acccess to information and service is easier and quicker. A company or an individual businessman/woman can be registered at HITRO.CR within the FINA Agency as well (FINA, www.fina.hr). The site HITRO.CR is of course available by the Internet from homes and offices, 24 hours a day. By the FINA home page, where HITRO.HR service is available, limited liability companies and individual business firms may be registered at the moment. In future, however, FINA will also complete most of other procedures at state administration offices, those which now must be done by companies and individuals themselves. So, it will be possible to get licenses, extracts, registration certificates and other documents from one place.

To find the nearest HITRO.HR point, go to http://www.hitro.hr and select the most convenient city or town on a list or a map you will see there.

AD.1 LIMITED LIABILITY COMPANY
Only four steps are required to establish a limited liability company through HITRO.HR. In the process of starting a company, HITRO.HR staff will help you as an intermediary for delivering and collecting documents for company incorporation.

Step one - company name availability check

First you must choose a name for your company. The staff of HITRO.HR service can help you check the register to find out whether a company by the chosen or similar name already exists. Therefore, in addition to the selected company names it is recommended to prepare alternative names. After checking the names of companies, HITRO.HR will refer you to make a reservation for the company name. When checking the name for your company, use the court registry website http://sudreg.pravosudje.hr.

Important! Be aware of this when choosing a company name:
- Company name must be clearly distinguished from the other names registered in the court registry, the identity or association with another company that violates the rights of intellectual and industrial property rights or rights of other people,
- The word "Croatia" and its derivatives may be entered in the company only with the consent of the andState authorities,
- Company name cannot contain names, logos, flags or other national emblems of othercountries or international (intergovernmental) organization, nor official signs for control and quality guarantee,
- Company name can hold a part of names of a person only with her consent, and if that person died, with the consent of heirs,
- Company name must be in Croatian language and Latin script or in official language of Member State of European Union and Latin script, and may be used Arabic numerals.Other company components must be in the Croatian language and Latin script.
- Company name can be translated into one or more languages and as such appear in the incorporation documents,
- The court will refuse to register a name that are protected by other contravene legislation, “the principle of priority” is applied, it means that the court will register that company name that was previously reported (in the case of application of the same company name to
the same register court).

Step two – public notary
Documents necessary for company registration must be sealed by the Public notary. When paying a visit to a public notary, take your ID card or passport (required if you are a foreign national) with you. All founders and other persons whose signatures are to be verified must be present. For foreign national who don’t speak Croatian there must be court interpreter for the language present (www.sudacka-mreza.hr/tumaci.aspx?Lng=en).

Step three – payment of fees and submission of documents
Registration documentation sealed by the Public notary can be submitted to the HITRO.HR. HITRO.HR can deliver documents for court registration and the National Bureau of Statistics for you. You can make the payment of court fees and the initial capital at HITRO.HR. At the HITRO.HR counter you will recive an RPS Form which you will have to fill out in order to obtain Registration by sector from the National Bureau of Statistics. All required forms and payment slips are available at HITRO.HR counters free of charge. Our staff will deliver and collect documents for you from the Court registry and National Bureau of Statistics. Once the registration is approved HITRO.HR staff will contact you in order to takeover the incorporation documents.

Step four – company’s seal making and opening of an account
After registration is completed your company needs to make an official stamp and open a business account so that the initial capital could be transferred into your company account. You can arrange the making of an official company stamp at HITRO.HR.

Step five - Tax Administration
The company shall now be entered into the records of the competent Tax Administration (appointed by company residence) for the purpose of registration in the Profit Tax and VAT Registry.

Step six – Pension and health insurance
The company should first be registered in the Croatian Pension Insurance Institute and subsequently in the Croatian Health Insurance Fund. Only after registration can the company start hiring.

Important!
After your company has been entered into the Court Register and the Register of the Central Bureau of Statistics, you must register your company with the relevant Tax Authority, whose jurisdiction is determined on the basis of your company’s seat.

Ad 2. SIMPLE LIMITED LIABILITY COMPANY
Law on Amendments of the Company Law was adopted and published in Official Gazette 111/2012, October 10th 2012, with new business entity: Simple Limited Liability Company with small initial capital and smaller fees, implemented into works through eCompany service.
Only four steps are required to establish a limited liability company through HITRO.HR. In the process of starting a company, HITRO.HR staff will help you as an intermediary for delivering and collecting documents for company incorporation.

Step one - company name availability check
First you must choose a name for your company. The staff of HITRO.HR service can help you check the register to find out whether a company by the chosen or similar name already exists. Therefore, in addition to the selected company names it is recommended to prepare alternative names. After checking the names of companies, HITRO.HR will refer you to make a reservation for the company name. When checking the name for your company, use the court registry website http://sudreg.pravosudje.hr.
When choosing a name for your company, please use the same notes as for the establishment of a Simple Limited Liability Company.

Step two – public notary
Notary public compiles minutes of establishment, the application for registration of the company into the court registry and a Statement regarding the absence of debts. The documents must be signed and certified by Public Notary who fills in electronic application through eCompany service (if the Notary Public uses one). After that, all necessary documents can be submitted to HITRO.HR through eCompany service or can be brought personally.

Please take your ID card or passport (required if you are a foreign national) with you. All founders and other persons whose signatures are to be verified must be present. There is no costs of entering into the Register of Business Entities. All required forms and payment slips are available at HITRO.HR counters free of charge. Our staff will deliver and collect documents for you from the Court registry and Croatian Bureau of Statistics. Once the registration is approved HITRO.HR staff will contact you in order to takeover the incorporation documents.

Step four – company’s seal making and opening of an account

Ad. 3 STARTING A CRAFT BUSINESS
You can obtain a Craft Business License at HITRO.HR counters set up at FINA's branches. You will receive all forms and information concerning the required documents and be able to handle most of the procedures required to start a craft business in one place. HITRO.HR acts as intermediary between clients and craft registration office.

Choosing the type of craft business
A craft business refers to independent and permanent performance of allowed economic activities by physical persons for the purpose of achieving profit through production, commerce or provision of services in the market.
A craft activity can also be performed by a company engaged in one or more activities provided it does it in a non-industrial manner.

Types of Craft Business:
- Free - no vocational or master craftsman certificate required.
- Qualified - vocational or master craftsman certificate required.
- Privileged - a craftsman can run a privileged craft business only on the basis of a privilege issued by the relevant ministry depending on the type of craft activity.

Collecting the documents
All required forms and payment slips are available at HITRO.HR counters free of charge. The employees of the HITRO.HR service will help you fill out the forms and payment slips required for the registration of a craft business. All required payments can be made at FINA's branches. HITRO.HR can deliver craft documentation to the craft registration office.

Submission of documents and payment of fees
A physical person that meets the requirements for performing a craft activity will become a craftsman upon registration in the Register of Craft Businesses.

The Decision on Entry in the Register of Craft Businesses and the Craft Business License are collected at the HITRO.HR counter. After you have received the Craft Business License, you must make an official stamp and open a business account. You can arrange the making of the official stamp at the HITRO.HR counter.

After a business has been entered in the Register of Craft Businesses, a craftsman must start performing the registered craft activity within the period of one year and, no later than 8 days prior to the commencement of operations, they must submit a Notification of Commencement of Operations.

Important!
Within 8 days from the commencement of operations, a craft business must be registered with the Tax Authority, whose jurisdiction is determined on the basis of the registered address of the business, for the purpose of entering the craft business into the Register of Income Tax and VAT Payers. To be able to commence their operations, accommodation and food service providers, transporters and other craftsmen subject to special regulations prescribing the same must, prior to the commencement of operations, obtain a Decision on Minimum Technical Requirements concerning the place of operation, concession for the performance of activity or operating permit.
